By using Dire Wolf Digital’s account services (the “Services”), you agree that this End User License Agreement (“Agreement”) is a legally binding and valid contract and agree to be bound by it. You agree to abide by all applicable laws, including but not limited to all applicable intellectual property laws, and all of the terms and conditions of this Agreement.
PLEASE READ THIS END USE LICENSE AGREEMENT CAREFULLY AND ENSURE YOU UNDERSTAND ALL THE FOLLOWING TERMS AND CONDITIONS BEFORE ACCESSING OR USING THE SERVICES.
Your use of the Services indicates your acceptance of this Agreement in its entirety.
If you do not agree to be bound by this Agreement in its entirety, you must immediately discontinue use of the Services.
User Agreement
You agree to use the Services in compliance with all applicable laws and not for any unlawful purpose.
To utilize the Services, you must create an Account. You may create an Account only if you are possess full legal capacity in your country of residence and you have not been specifically prohibited from creating an Account by Dire Wolf Digital.
You agree to pay all costs incurred by you or anyone using your Account. If you choose a recurring subscription for a Game, you acknowledge that payments will be processed automatically until you cancel the subscription or the Account.
Dire Wolf Digital may revise the pricing for the goods and services offered through the Platform at any time.
License
If you accept and comply with the terms of this Agreement, Dire Wolf Digital will grant a limited, revocable, non-exclusive, non-transferrable license to use the Services subject to the limitations found within this Agreement. Dire Wolf Digital may suspend or revoke your license to use these Services if you violate the terms of this Agreement.
Some of the Games offered under these Services will have their own license agreements and terms. This Agreement does not obviate the need to comply with any such individual Game agreements and terms.
Copyright Restriction
Dire Wolf Digital's name, logo and graphics file that represents the Services may not be used in any way to promote non-Dire Wolf Digital products or services. Dire Wolf Digital retains sole and exclusive ownership of all right, title and interest in and to the Services and all intellectual property rights relating thereto.
You will not copy or reproduce, translate, reverse engineer, derive source code from, modify, disassemble, decompile, or create derivative works based on or related to the Services except as noted below under User Created Content.
Copyright law and international copyright treaty provisions protect all parts of the Services and products. All rights not expressly granted hereunder are reserved for Dire Wolf Digital.
User Created Content
The Services may provide you an opportunity to create, upload and display content on the Services, such as on forums, and/or as part of a Game, including the compilation, arrangement or display of such content (collectively, the “User Content”). Therefore, by contributing User Content to the Services, you automatically grant Dire Wolf Digital a perpetual, irrevocable, worldwide, non-exclusive, transferable, fully-paid, royalty-free, right and license to use, copy, distribute, publicly perform, publicly display, publish, and otherwise exploit the User Content and all elements thereof, in any and all media, formats and forms, known now or hereafter devised.
Third Parties
The Services may incorporate third-party technology. As part of this, Dire Wolf Digital and/or its authorized third-party partners may collect standard information that is sent when your personal computer connects to the Internet including your Internet protocol (IP) address and/or when you play Games through the Services.
Limitation of Responsibility
You will indemnify, hold harmless, and defend Dire Wolf Digital, its employees, shareholders, agents, and distributors against any and all claims, proceedings, demands and costs resulting from or in any way connected with your use of Dire Wolf Digital's Services.
In no event (including, without limitation, in the event of negligence) will Dire Wolf Digital, its employees, shareholders, agents, or distributors be liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss), in connection with or arising out of or related to this Agreement, the Services or the use or inability to use the Services or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence.
DISCLAIMER OF WARRANTY
EXCEPT AS EXPRESSLY STATED IN WRITING, DIRE WOLF DIGITAL MAKES NO REPRESENTATIONS OR WARRANTIES IN RESPECT OF THE SERVICES. THESE SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF PERFORMANCE, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE), AND ALL SUCH WARRANTIES ARE HEREBY DISCLAIMED. THIS DISCLAIMER CONCERNS ALL FILES GENERATED AND EDITED BY THE GAME AS WELL.
Termination
You are entitled to terminate this Agreement at any time by notifying Dire Wolf Digital by email at support@direwolfdigital.com .
Dire Wolf Digital reserves the right to terminate this Agreement at any time for any reason, or for no reason, with or without notice to you.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to principles of conflict of laws. Any dispute arising under these Terms of Service shall be heard exclusively in a federal or state court sitting in the City and County of Denver, Colorado, and you hereby irrevocably agree to the non-exclusive jurisdiction of such courts. If any provision of this Agreement shall be considered unlawful, void or otherwise unenforceable, then that provision shall be deemed severable from this License and not affect the validity and enforceability of any other provisions.
